1. Introduction
Welcome to XavionStudio. These Terms of Service govern your use of our website design and development services. By subscribing to our services, you agree to be bound by these terms. Please read them carefully before proceeding.
2. Services
XavionStudio provides website design, development, hosting, and maintenance services on a subscription basis. Our services include but are not limited to:
- Custom website design and development
- Website hosting and SSL certificates
- Ongoing maintenance and updates
- Technical support
- Search engine optimization
3. Subscription & Payment
Our services are provided on a monthly subscription basis. Subscription fees are billed monthly in advance. All fees are non-refundable unless otherwise specified. We reserve the right to modify our pricing with 30 days notice to existing subscribers.
4. Intellectual Property & Ownership
Important: Please read this section carefully
4.1 Design Ownership: All designs, code, graphics, layouts, and other creative works produced by XavionStudio remain the exclusive intellectual property of XavionStudio. This includes but is not limited to website designs, custom graphics, animations, and any other visual or functional elements created as part of our services.
4.2 License During Subscription: While your subscription is active, you are granted a non-exclusive, non-transferable license to use the website and designs created for you. This license is strictly tied to your active subscription status.
4.3 Termination of License: Upon cancellation of your subscription, your license to use any and all designs, code, and materials created by XavionStudio is immediately revoked. You must cease using the website and all associated materials. The website will be taken offline and you may not replicate, copy, or continue to use any designs or code in any form.
4.4 Design Purchase Option: If you wish to obtain full ownership of your website design and code, you may purchase it separately. Design purchase pricing is determined on a case-by-case basis and transfers full intellectual property rights to you upon payment. Contact us for a design ownership quote.
4.5 Portfolio Rights: XavionStudio reserves the right to display and reference all work in our portfolio, marketing materials, and case studies, unless otherwise agreed in writing.
5. Client Responsibilities
You are responsible for providing accurate and timely content, images, and information needed for your website. You must ensure you have the rights to use any content you provide. You agree not to use our services for any illegal, harmful, or unethical purposes.
6. Cancellation & Termination
6.1 Cancellation by Client: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. Upon cancellation, your website will be taken offline and all licenses to use our designs are revoked as per Section 4.3.
6.2 Termination by XavionStudio: We reserve the right to terminate your subscription immediately if you breach these terms, fail to make payment, or use our services in a manner we deem inappropriate.
6.3 Data Retention: After cancellation, we may retain your website files for up to 30 days. After this period, all data may be permanently deleted. If you purchase design ownership before this period ends, we will transfer all files to you.
7. Limitation of Liability
XavionStudio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you in the 12 months preceding any claim.
8. Warranty Disclaimer
Our services are provided "as is" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements. We will, however, make reasonable efforts to maintain service quality and uptime.
9. Modifications to Terms
We reserve the right to modify these terms at any time. We will notify you of any material changes via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
